Terms and Conditions for B2B Collaboration – UUBYKIDS

These Terms and Conditions ("Terms") govern registration and B2B (Business to Business) commercial collaboration with UUBYKIDS DI MAURA LOCCHI, headquartered at Piazza Scugnizzo Napoletano, 4 – Corciano (PG), Italy, Tax Code LCCMRA83R69G478Z, VAT No. 03810660542 ("UUBYKIDS", "we"), via the website uubykids.com.

By registering as a B2B partner, the user ("Partner", "you") declares to have read, understood, and fully accepted these Terms.

1. Scope of Application

1.1 These Terms apply exclusively to parties who register on the site as business operators (holders of a VAT number, companies, resellers, wholesalers, retail shops) and who request access to the reserved B2B area for purchasing products under dedicated commercial terms.

1.2 Sales to end consumers are expressly excluded, and are instead governed by the B2C General Terms and Conditions of Sale published on the site.

2. Registration Requirements

2.1 To register as a B2B Partner, it is necessary to:

  • hold a valid and active VAT number;
  • provide truthful, complete, and up-to-date company data (company name, registered office, tax code/VAT number, contact person, contact details);
  • operate in the retail or wholesale sale of children's products or related sectors.

2.2 UUBYKIDS reserves the right to verify the data provided (including through public or chamber-of-commerce databases) and to accept, reject, or suspend a registration request at its sole discretion, without obligation to state reasons.

2.3 The B2B account is strictly personal and reserved for the registered company: it is forbidden to transfer, share, or use it on behalf of unauthorized third parties.

3. Account Activation and Commercial Terms

3.1 Upon approval, the Partner will gain access to a reserved price list, any applicable quantity discounts, and dedicated sales terms, communicated via the reserved area or by email.

3.2 Commercial terms (prices, discounts, minimum order quantities, delivery times) may change over time and are subject to periodic revision by UUBYKIDS, with effect on orders placed after the change.

3.3 Reserved B2B prices are to be understood as exclusive of VAT, unless otherwise indicated.

4. Orders, Payments, and Invoicing

4.1 Orders placed through the B2B area constitute a purchase proposal subject to acceptance by UUBYKIDS, which will be confirmed by email or through an order confirmation on the site.

4.2 Accepted payment methods will be indicated at the time of ordering or agreed directly with UUBYKIDS (e.g., advance bank transfer, agreed installment payment, other methods).

4.3 Every order will be accompanied by a regular electronic invoice, issued in accordance with applicable tax regulations.

4.4 In the event of late payment, UUBYKIDS reserves the right to suspend fulfillment of subsequent orders and to apply late-payment interest as provided by applicable law (Legislative Decree 231/2002).

5. Delivery and Returns

5.1 Delivery times and methods will be communicated at the time of order confirmation and may vary depending on warehouse availability and destination.

5.2 Return and replacement conditions for B2B relationships are governed separately from those provided for end consumers (right of withdrawal under the Italian Consumer Code) and will be agreed on a case-by-case basis, except in cases of product defects or non-conformity with the order, for which the legal warranties applicable to business-to-business relationships shall apply.

6. Use of Trademark and Materials

6.1 Access to the B2B area does not constitute a license grant on the "UUBYKIDS" trademark, nor authorization to use logos, images, or promotional materials, unless prior written consent is given by UUBYKIDS.

6.2 Resale of products outside the agreed channels and methods (e.g., through unauthorized platforms) without prior written authorization is prohibited.

7. Confidentiality

7.1 Reserved commercial terms, price lists, and any information marked as confidential may not be disclosed to third parties or used for purposes other than the performance of the business relationship.

8. Duration and Withdrawal

8.1 The B2B collaboration is of indefinite duration, and either party may withdraw at any time, with effect on future orders, by giving written notice, including by email.

8.2 UUBYKIDS reserves the right to suspend or deactivate the B2B account in the event of a breach of these Terms, prolonged inactivity, or conduct detrimental to the company.

9. Processing of Personal Data

9.1 Data provided during registration will be processed by UUBYKIDS in compliance with Regulation (EU) 2016/679 (GDPR) and the Privacy Policy published on the site, to which reference is made for further details on purposes, legal basis, and data subject rights.

10. Changes to the Terms

10.1 UUBYKIDS reserves the right to modify these Terms at any time. Changes will be published on the site and, if substantial, communicated to registered Partners. Continued use of the B2B area after publication of the changes constitutes acceptance thereof.

11. Governing Law and Jurisdiction

11.1 These Terms are governed by Italian law. For any dispute concerning their interpretation or execution, the Court of Perugia shall have exclusive jurisdiction, except as otherwise mandatorily provided by law.
